These Terms of Use govern your access to and use of TaxBloc, a service provided by MortgageBloc Limited ("we", "us", "our"). By using TaxBloc, you agree to these terms. Please read them carefully.
1. About TaxBloc
TaxBloc is a financial data export service that allows users to connect their UK bank accounts via Open Banking and generate standardised CSV exports of their transaction data. TaxBloc is a trading name of MortgageBloc Limited, registered in England and Wales under company number 12844126.
We operate as an agent of Plaid Financial Ltd, an authorised payment institution regulated by the Financial Conduct Authority under the Payment Services Regulations 2017 (FCA Firm Reference Number: 804718).
2. Eligibility
To use TaxBloc, you must:
- Be aged 18 or over
- Be a UK resident or have UK bank accounts
- Have the authority to access the bank accounts you connect
- Use the service for lawful purposes only
3. Your Account
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at hello@taxbloc.ai if you suspect any unauthorised use.
4. Open Banking Access
TaxBloc connects to your bank accounts using FCA-regulated Open Banking technology provided by Plaid Financial Ltd. This connection is:
- Read-only — we cannot initiate payments, move money, or alter your account in any way
- Revocable — you can withdraw access at any time through your banking app or by contacting us
- Secure — your bank credentials are never shared with or stored by TaxBloc
5. Practice Account Terms
This Section 5 applies where TaxBloc is provided to an accountancy or bookkeeping practice (the "Practice") and the Practice creates accounts for one or more individuals (employees, contractors, partners, directors, or otherwise authorised representatives of the Practice — each an "Authorised User") to use TaxBloc on the Practice's behalf. Where there is any conflict between this Section 5 and other parts of these Terms, this Section 5 prevails for Practice accounts.
5.1 Practice account structure
The Practice is the contracting customer of record. All fees, contractual obligations, and liability under these Terms are owed by the Practice as a single legal entity. The Practice nominates one or more individuals as Practice Administrators who hold authority to invite, remove, and manage Authorised Users.
5.2 Authorised Users
- Each Authorised User must register with a unique work email address belonging to the Practice's domain. Personal addresses are accepted only at TaxBloc's discretion and may take longer to verify.
- Sharing logins, passwords, magic sign-in links, or session tokens between Users is strictly prohibited.
- Authorised Users must complete two-factor authentication where it is enabled by the Practice or required by TaxBloc.
- The Practice may grant each Authorised User either Admin or Member privileges. Only Admins may invite or remove Users, change billing details, or change plan.
5.3 Practice responsibility for User actions
The Practice is fully and unconditionally responsible for the actions of every Authorised User on the platform. This includes any client banking data accessed, exports generated, client connection requests sent, communications sent through the platform, and any breach of these Terms — irrespective of whether the action was authorised by the Practice. Acts and omissions of Authorised Users are deemed to be acts and omissions of the Practice.
The Practice will:
- Ensure that each Authorised User is properly trained on data protection (UK GDPR), AML obligations, and the Practice's professional supervisory body's rules;
- Restrict Authorised User access to those who have a current and legitimate business need;
- Promptly — and in any event within 24 hours — remove or disable platform access for any User who leaves the Practice, ceases to require access, or whose engagement terminates;
- Maintain accurate internal records of which Users hold access and at what privilege level;
- Implement reasonable internal controls to prevent misuse of the platform.
5.4 Acceptable use by Authorised Users
In addition to the general acceptable-use rules in Section 6, Authorised Users must not:
- Send a bank-connection request to any individual or entity that is not a bona fide client of the Practice with whom the Practice has a current engagement and from whom informed consent has been obtained;
- Generate, download, retain, or share exports for any purpose outside the scope of the Practice's engagement with the relevant client;
- Impersonate, mislead, coerce, or pressure any individual into connecting their bank accounts;
- Attempt to access another Practice's data, audit logs, or client information;
- Reverse-engineer, scrape, or programmatically interact with the platform without TaxBloc's prior written consent;
- Use the platform to commit, facilitate, conceal, or further any financial crime, including money laundering, tax evasion, fraud, or sanctions breaches;
- Use TaxBloc data outside the United Kingdom in ways that would breach UK data protection law.
5.5 Audit, monitoring and evidence
All actions taken by Authorised Users on the platform are logged with the User's identity, timestamp, IP address, action type, and (where applicable) the target client or record. The Practice acknowledges that:
- Audit logs are retained by TaxBloc for at least six (6) years to satisfy financial-crime, regulatory, and contractual record-keeping obligations;
- Audit logs are admissible as evidence of Authorised User activity in any dispute, investigation, or regulatory inquiry;
- The Practice may not dispute that an action was performed by a particular Authorised User on the basis that the User's credentials may have been compromised, unless the Practice notified TaxBloc of the suspected compromise prior to the action.
5.6 Reporting obligations
The Practice will notify TaxBloc at hello@taxbloc.ai within 24 hours of becoming aware of:
- Any suspected or actual misuse of the platform by an Authorised User;
- The departure or change in role of an Authorised User whose access has not yet been removed or adjusted;
- Any loss, theft, or compromise of an Authorised User's credentials, devices, or sign-in links;
- Any complaint received from a client of the Practice relating to the use of TaxBloc.
5.7 Suspension and termination
TaxBloc may, without prior notice, suspend the access of any individual Authorised User or the entire Practice account where it reasonably suspects:
- A breach of these Terms by any Authorised User;
- Financial crime, fraud, unauthorised access, or any activity that creates risk to a connected client or to TaxBloc's regulatory standing as an FCA-registered agent of Plaid Financial Ltd (FRN 804718);
- That an Authorised User no longer represents the Practice.
Suspension does not affect TaxBloc's right to recover fees due, pursue any further remedy, or report the matter to the FCA, the Practice's AML supervisor, the National Crime Agency, or any other competent authority where required by law.
5.8 Indemnity
The Practice indemnifies TaxBloc, its directors, employees and affiliates against all losses, claims, damages, fines, regulatory penalties, and reasonable legal costs arising directly or indirectly from the actions of any Authorised User in connection with the platform, except to the extent caused by TaxBloc's own gross negligence, wilful misconduct, or breach of these Terms.
5.9 FCA agent compliance
TaxBloc operates as a registered agent of Plaid Financial Ltd (FCA FRN 804718) under the Payment Services Regulations 2017. The Practice agrees to comply promptly with any reasonable instruction, request for information, or operational change that TaxBloc must implement to maintain its regulated status, including providing information about Authorised Users or their activity where this is required by Plaid Financial Ltd, the FCA, or another competent authority.
6. Acceptable Use
You agree not to use TaxBloc to:
- Access bank accounts you are not authorised to use
- Engage in any fraudulent, deceptive, or illegal activity
- Attempt to reverse engineer, copy, or replicate the service
- Interfere with the security or integrity of the platform
7. Pricing and Payment
Your first export is free. Subsequent exports require a paid subscription. Prices are displayed at the time of purchase and are inclusive of VAT where applicable. All subscriptions are billed annually and are non-refundable except where required by law.
We reserve the right to change our pricing at any time with reasonable notice.
8. Limitation of Liability
TaxBloc provides data export functionality as a tool to assist with financial record-keeping. We do not provide financial, tax, or accounting advice. You are responsible for verifying the accuracy of exported data and for any decisions made based on it.
To the fullest extent permitted by law, MortgageBloc Limited shall not be liable for any indirect, incidental, or consequential loss arising from your use of TaxBloc.
9. Intellectual Property
All intellectual property in the TaxBloc platform, including its design, code, and content, belongs to MortgageBloc Limited. You may not reproduce or distribute any part of the service without our prior written consent.
10. Termination
We reserve the right to suspend or terminate your account if you breach these terms, engage in fraudulent activity, or use the service in a manner that may cause harm to others.
11. Changes to These Terms
We may update these Terms of Use from time to time. We will notify you of material changes by email or by posting a notice on the site. Continued use of TaxBloc after changes are made constitutes your acceptance of the updated terms.
12. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
